1. Services

IF/ELSE Intelligence provides AI development, data engineering, software development, and web development services as detailed in individual project agreements or statements of work (SOW). Specific scope, timeline, and deliverables are defined in a separate written agreement for each engagement.

We reserve the right to refuse or discontinue any engagement at our discretion, particularly if the requested work conflicts with our values or applicable law.

2. Intellectual Property

Upon full payment, all custom deliverables created specifically for you under an agreed scope become your property. We retain ownership of:

• Pre-existing tools, frameworks, libraries, and methodologies used in the development process
• General-purpose components, utilities, and boilerplate code not unique to your project
• Internal systems, proprietary tools, and development infrastructure

You grant us a non-exclusive license to display completed work in our portfolio and marketing materials unless agreed otherwise in writing.

3. Confidentiality

We treat all client information, business data, and project details as confidential. We will not disclose your proprietary information to third parties without written consent, except as required by law. This obligation survives the termination of any engagement.

4. Payment Terms

Payment terms are specified in each individual project agreement. Generally:

• Projects require a deposit prior to commencement of work
• Invoices are payable within the timeframe specified in the agreement
• Late payments may incur interest charges as specified in the project agreement
• Work may be paused pending resolution of overdue payments

5. Warranties and Disclaimers

We deliver services with professional care and to agreed specifications. However, we make no guarantees regarding specific business outcomes, revenue impact, or AI model accuracy beyond what is technically achievable and documented in the project agreement.

Our website and services are provided "as is." We disclaim all implied warranties to the extent permitted by law, including warranties of merchantability and fitness for a particular purpose.

6. Limitation of Liability

To the maximum extent permitted by applicable law, IF/ELSE Intelligence shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability in any matter arising from a project engagement shall not exceed the total fees paid by you for that specific engagement.

7. Termination

Either party may terminate a project engagement with written notice. Upon termination, you are responsible for payment of all work completed to the termination date. Deliverables completed prior to termination will be transferred upon receipt of outstanding payment.

8. Governing Law

These terms are governed by the laws of Pakistan. Any disputes shall be subject to the exclusive jurisdiction of the courts of Pakistan, unless otherwise agreed in writing.

9. Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
